Organization and Qualification of the Company. (a) The Company is a corporation duly organized, validly existing and in good standing under the laws of the State of Nevada. (b) The Company has all necessary corporate power and authority over the assets now owned by it. The Company is licensed or qualified to do business in the State of Wyoming. The Stockholder has delivered to Buyer complete and correct copies of the charter and bylaws of the Company as in effect as of the Closing Date.
