Organization and Standing of Purchaser. Purchaser is a corporation duly organized and validly existing under the laws of Canada, with full power and authority to enter into this Agreement and with a sufficient number of authorized and unissued shares to satisfy the consideration requirements specified in Section 3 hereof.
