Organization and Standing of Seller. Seller’s a corporation duly organized, validly existing, and in good standing under the laws of the state of Nevada. Seller has full requisite corporate power and authority to carry on its business as it is now being conducted.

Subject only to approval by the Court, Seller has all requisite corporate power and authority to sell the Assets, free and clear of any and all Liens. Seller has no subsidiaries. The Shareholders are all of the shareholders of Seller.

Seller has full corporate power and authority to own and lease all of the properties and assets it now owns and leases and to carry on its business as now being conducted. To the Knowledge of Seller, Seller is in substantial compliance with applicable laws.

Such Seller is duly incorporated, validly existing and in good standing (or equivalent status in the relevant jurisdiction) under the Laws of the jurisdiction of its incorporation or establishment, and has all requisite corporate power and authority to own its properties and assets and to carry on its business as now conducted, and to perform each of its obligations hereunder and under any other Transaction Document to which it is a party.
Organization and Standing of Seller. Seller is a corporation, duly organized, validly existing, and in good standing under the laws of the State of South Dakota. Seller is qualified to do business as a corporation under the laws of each jurisdiction where Seller conducts its business. Seller has the requisite corporate power and authority to own, lease, and operate its properties and is duly authorized and licensed to carry on its business in the places where and in the manner in which its business is presently being conducted. Seller has the full corporate power, legal capacity, and authority to execute and deliver this Agreement, to consummate the Contemplated Transactions, and to perform its obligations under this Agreement.
Organization and Standing of Seller. Seller is a limited partnership duly organized, validly existing, and in good standing under the laws of the State of Washington, and is qualified to do business and in good standing in the State of Texas. Seller has all requisite partnership power and authority to execute, deliver, and perform this Agreement, and has all requisite power as is necessary and required to operate the System at the places where and in the manner in which the System is operated. Seller is not a participant in any joint venture, partnership or similar arrangement with any other person or party with respect to any part of the System or the Purchased Assets.
