Organization and Standing of Seller. Seller is a corporation duly organized, validly existing and in good standing under the laws of the State of Wisconsin and has all requisite power and authority to: (i) own, lease, operate and sell the Assets; and (ii) carry on the business of the Radio Stations as now being conducted and as proposed to be conducted by Seller between the date hereof and the Closing Date.
