Service Express is a corporation duly organized and existing under the laws of the State of Alabama and is duly qualified to do business in the State of Alabama and in each jurisdiction where the failure to be so qualified would have a material adverse effect on Borrower. To the best of Service Express= knowledge and belief, it is in material compliance with all applicable laws and regulations governing the conduct of its business and governing consummation of the transactions and its principal place of business is located in the State of Alabama.
