Common use of Organization, Authority, Execution and Enforceability Clause in Contracts

Organization, Authority, Execution and Enforceability. Bulldog and each Bulldog Affiliate is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization and has the right, power and authority to execute and deliver this Agreement and the Operative Agreements to which it will be a party and to consummate the transactions contemplated hereby and thereby, as applicable. This Agreement has been duly authorized, executed and delivered by Bulldog and constitutes the valid and binding obligation of Bulldog, enforceable in accordance with its terms, except as enforceability may be limited by bankruptcy, insolvency, fraudulent transfer, moratorium or other similar laws relating to or affecting the rights of creditors generally and by equitable principles, including those limiting the availability of specific performance, injunctive relief and other equitable remedies and those providing for equitable defenses. Each Operative Agreement, when executed and delivered by each Bulldog Affiliate will be duly authorized, executed and delivered by such Bulldog Affiliate and will constitute the valid and binding obligation of such Bulldog Affiliate enforceable in accordance with its terms, except as enforceability may be limited by bankruptcy, insolvency, fraudulent transfer, moratorium or other similar laws relating to or affecting the rights of creditors generally and by equitable principles, including those limiting the availability of specific performance, injunctive relief and other equitable remedies and those providing for equitable defenses.

Each Operative Agreement, when executed and delivered by each Bulldog Affiliate Mimesis, will be duly authorized, executed and delivered by such Bulldog Affiliate Mimesis and will constitute the valid and binding obligation of such Bulldog Affiliate Mimesis enforceable in accordance with its terms, except as enforceability may be limited by bankruptcy, insolvency, fraudulent transfer, moratorium or other similar laws relating to or affecting the rights of creditors generally and by equitable principles, including those limiting the availability of specific performance, injunctive relief and other equitable remedies and those providing for equitable defenses.

Each Operative Agreement, when executed and delivered by each Bulldog Affiliate Xxxx Xxxxxxxx will be duly authorized, executed and delivered by such Bulldog Affiliate Xxxx Xxxxxxxx and will constitute the valid and binding obligation of such Bulldog Affiliate Xxxx Xxxxxxxx enforceable in accordance with its terms, except as enforceability may be limited by bankruptcy, insolvency, fraudulent transfer, moratorium or other similar laws relating to or affecting the rights of creditors generally and by equitable principles, including those limiting the availability of specific performance, injunctive relief and other equitable remedies and those providing for equitable defenses.

Each Operative Agreement, when executed and delivered by each Bulldog Affiliate Oxxx Xxxxxxxx will be duly authorized, executed and delivered by such Bulldog Affiliate Oxxx Xxxxxxxx and will constitute the valid and binding obligation of such Bulldog Affiliate Oxxx Xxxxxxxx enforceable in accordance with its terms, except as enforceability may be limited by bankruptcy, insolvency, fraudulent transfer, moratorium or other similar laws relating to or affecting the rights of creditors generally and by equitable principles, including those limiting the availability of specific performance, injunctive relief and other equitable remedies and those providing for equitable defenses.
