Common use of Organization, Authorization and Consents Clause in Contracts

Organization, Authorization and Consents. Each Seller is a duly organized and validly existing general partnership under the laws of the State of Georgia. Each Seller has the right, power and authority to enter into this Agreement and to convey the Property in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.

Each Georgia whose general partners are Cousins and C & S Premises — SPE, Inc. Seller has the right, power and authority to enter into this Agreement and to convey the Property in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.

Each Seller is a duly organized and validly existing general partnership under the laws of the State of Georgia, whose sole general partners are Xxxxx Real Estate Fund XIII, L.P., a Georgia limited partnership and Xxxxx Real Estate Fund XIV, L.P., a Georgia limited partnership. Each Seller has the right, power and authority to enter into this Agreement and to convey the Property in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.
