Common use of Organization, Authorization and Consents Clause in Contracts

Organization, Authorization and Consents. Seller is a duly organized and validly existing joint venture under the laws of the State of Georgia. Seller has the right, power and authority to enter into this Agreement and to convey the Property in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.

Organization, Authorization and Consents. Seller is a duly organized and validly existing joint venture limited partnership under the laws of the State of Georgia. Seller has the right, power and authority to enter into this Agreement and to convey the Property in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.

Seller is a duly organized and validly existing joint venture partnership under the laws of the State of Georgia, and holds fee simple, insurable title to said Property. Seller has the right, power and authority to enter into this Agreement and to convey the Property in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.

Seller has the right, power and authority to enter into this Agreement and to convey the Property Properties in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.

Organization, Authorization and Consents. Each Seller is a duly organized and validly existing joint venture general partnership under the laws of the State of Georgia. Each Seller has the right, power and authority to enter into this Agreement and to convey the Property in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.

Each Seller has the right, power and authority to enter into this Agreement and to convey the Property in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.

Seller is a duly organized and validly existing joint venture limited partnership under the laws of the State of Delaware and is authorized to transact business in the State of Georgia. Seller has the right, power and authority to enter into this Agreement and to convey the Property Asset in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.

Seller is a duly organized and validly existing joint venture partnership under the laws of the State of Georgia, whose sole general partners are Xxxxx Real Estate Fund XIII, L.P., a Georgia limited partnership and Xxxxx Real Estate Fund XIV, L.P., a Georgia limited partnership. Seller has the right, power and authority to enter into this Agreement and to convey the Property in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.

Georgia whose general partners are Cousins and C & S Premises — SPE, Inc. Seller has the right, power and authority to enter into this Agreement and to convey the Property in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.
