Organization, Authorization and Consents. Purchaser is a duly organized and validly existing limited liability company under the laws of the State of Indiana. Purchaser has the right, power and authority to enter into this Agreement and to purchase the Property in accordance with the terms and conditions of this Agreement, to engage in the transactions contemplated in this Agreement and to perform and observe the terms and provisions hereof.
