Common use of Organization; Authorization Clause in Contracts

Organization; Authorization. Such Buyer is duly organized, validly existing and in good standing (to the extent such concept is applicable) under the laws of the jurisdiction in which it is organized and has the requisite organizational power and authority to carry on its business as now being conducted. Such Buyer has the requisite organizational power and authority to enter into and perform its obligations under this Agreement and the Transaction Documents (as defined in Section 3(b)) to which it is a party.

Organization; Authorization. Such Buyer is duly organized, validly existing and in good standing (to the extent such concept is applicable) under the laws of the jurisdiction in which it is organized and has the requisite organizational power and authority to carry on its business as now being conducted. Such Buyer has the requisite organizational power and authority to enter into and perform its obligations under this Agreement and the Transaction Documents (as defined in Section 3(b)) to which it is a party.

Organization; Authorization. Such Buyer The Purchaser is duly organized, validly existing and in good standing (to the extent such concept is applicable) under the laws of the jurisdiction in which it is organized its state of formation and has the requisite organizational power and authority to carry on its business as now being conducted. Such Buyer has the requisite organizational power and authority to enter into and perform its obligations under this Agreement and the Transaction Documents (as defined in Section 3(b)) to which it is a partyAgreement.

Organization; Authorization. Such Buyer If such Purchaser is not an individual, such Purchaser is duly organized, validly existing and in good standing (to the extent such concept is applicable) under the laws of the its jurisdiction in which it is organized of formation and has the requisite organizational power and authority to carry on its business as it is now being conducted. Such Buyer Purchaser has the requisite organizational power and authority to enter into and perform its obligations under this Agreement and to perform and consummate the Transaction Documents (as defined in Section 3(b)) to which it is a party.transactions contemplated hereby and the execution and delivery by such Purchaser of this Agreement, the acquisition of the Shares and the performance and consummation of the transactions contemplated hereby

Such Buyer If such Purchaser is an entity, such Purchaser is duly organized, validly existing and in good standing (to the extent such concept is applicable) under the laws of the jurisdiction in which it is organized set forth opposite its name on Schedule A hereto and has the requisite organizational power and authority to carry on its business as now being conducted. Such Buyer has the requisite organizational power and authority to enter into and perform its obligations under this Agreement and the Transaction Documents (as defined in Section 3(b)) to which it is a partyRegistration Rights Agreement.

Organization; Authorization. Such Buyer Purchaser is duly organized, validly existing and in good standing (to the extent such concept is applicable) under the laws of the jurisdiction in which it is organized of its formation. The consummation of the transactions contemplated hereby are within Purchaser’s powers and have been duly authorized by all necessary actions on the part of Purchaser. Purchaser has the requisite organizational full power and authority to carry on its business as now being conducted. Such Buyer has the requisite organizational power and authority to enter into execute, deliver and perform its obligations under this Agreement and the Transaction Documents (as defined in Section 3(b)) to which it is a partyAgreement.

Such Buyer If such Purchaser is an entity, such Purchaser is duly organized, validly existing and in good standing (to the extent such concept is applicable) under the laws of the jurisdiction in which it is organized set forth opposite its name on SCHEDULE A hereto and has the requisite organizational power and authority to carry on its business as now being conducted. Such Buyer has the requisite organizational power and authority to enter into and perform its obligations under this Agreement and the Transaction Documents (as defined in Section 3(b)) to which it is a partyRegistration Rights Agreement.

Organization; Authorization. (a) Such Buyer Purchaser is duly organized, incorporated or organized and validly existing and in good standing (to the extent such concept is applicable) under the laws of the its jurisdiction in which it is organized of incorporation or organization and has the requisite organizational power and authority to carry on own, lease and operate its property and assets and to conduct its business as now being presently conducted. Such Buyer has the requisite organizational power and authority to enter into and perform its obligations under this Agreement and the Transaction Documents (as defined in Section 3(b)) to which it is a party.

Organization; Authorization. Such Buyer The Purchaser is duly organized, validly existing and in good standing (to the extent such concept is applicable) under the laws of the jurisdiction in which it is organized of its incorporation or organization and has the requisite organizational power and authority to carry on its business as now being conducted. Such Buyer has the requisite organizational power and authority to enter into and perform its obligations under this Agreement and the Transaction Documents (as defined in Section 3(b)) to which it is a partyRegistration Rights Agreement.
