Common use of Organization, Execution and Power of Purchaser Clause in Contracts

Organization, Execution and Power of Purchaser. Purchaser is a corporation duly incorporated, validly existing and in good standing under the Laws of the State of Delaware, with full power and authority to enter into this Agreement and to perform its obligations hereunder. The execution, delivery and performance of this Agreement and the other agreements contemplated hereby to be executed and delivered by Purchaser, the consummation of the transactions contemplated hereby and thereby have been duly and validly authorized by all requisite company action on the part of Purchaser, and no other company proceedings on the part of Purchaser are necessary to authorize the execution, delivery or performance of this Agreement or the other agreements contemplated hereby. This Agreement and the other agreements contemplated hereby to be executed and delivered by Purchaser constitute valid and binding obligations of Purchaser, enforceable in accordance with their respective terms.
