Common use of Organization/Existence/Authority Documents Clause in Contracts

Organization/Existence/Authority Documents. Administrative Agent shall have received such documents and certificates as Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the Borrower and each Guarantor, the authorization of this Ninth Amendment and the transactions contemplated hereby, and any other legal matters relating to the Borrower, the Guarantors and this Ninth Amendment.

Administrative Agent shall have received such documents and certificates as Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the Borrower and each Guarantor, the authorization of this Ninth Eighth Amendment and the transactions contemplated hereby, and any other legal matters relating to the Borrower, the Guarantors and this Ninth Eighth Amendment.

The Administrative Agent shall have received such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the Borrower and each Guarantor, the authorization of the Gulf of Mexico Acquisition and each of the Security Instruments contemplated by Section 5.2 of this Ninth Sixth Amendment and the transactions contemplated hereby, and any other legal matters relating to thereto as the Borrower, the Guarantors and this Ninth AmendmentAdministrative Agent shall reasonably request.
