Common use of Organization, Good-Standing and Conduct of Business Clause in Contracts

Organization, Good-Standing and Conduct of Business. Aspiration is a corporation, duly organized, validly existing and in good standing under the laws of the State of Delaware, and has full power and authority to own its properties and assets and to carry on its business as it is presently being conducted. Aspiration is, or prior to enrolling any Customers in the Aspiration Account Program will be, (a) registered with the U.S. Securities and Exchange Commission as an investment advisor and broker-dealer, (b) a member of FINRA and the Securities Investor Protection Corporation and (c) registered as a broker-dealer in each state where the registration is required in order to offer the Aspiration Account Program to residents of such state.
