Organization, Good Standing and Corporate Power. Buyer is a corporation duly organized, validly existing, and in good standing under the laws of the State of Delaware. Buyer has the corporate power to carry on its business as it is now being conducted and to own, lease and operate the properties and assets used in connection therewith. Buyer has full corporate power to purchase and take title to the Purchased Assets from Seller and to perform the other covenants of Buyer under this Agreement.
