Organization, Good Standing and Qualification of Seller. Seller (a) is a Colorado limited liability company duly organized, validly existing and in good standing under the Laws of the state of Colorado, (b) has all requisite limited liability company power and authority to carry on the Business as currently conducted, and (c) is duly qualified to transact business and is in good standing in all jurisdictions where its ownership, lease or operation of property or the conduct of the Business requires such qualification.
