Organization of Falcon. Falcon is a corporation duly organized, ---------------------- validly existing and in good standing under the laws of the State of Oklahoma, and has its principal place of business at 0000 X.X. 00xx Xxxxxx, Xxxxxxxx Xxxx, Xxxxxxxx 00000. A true and complete copy of the Articles of Incorporation of Falcon and all amendments thereto certified by the Secretary of State of Oklahoma, and a true copy of the Bylaws of Falcon certified by the Secretary of Falcon, will be delivered to the Company prior to the Closing. Falcon is not qualified to do business in any jurisdiction other than Oklahoma and its failure to be so qualified will not have a material adverse effect on its business, its prospects, its results of operations or its financial condition. Falcon has no subsidiaries and no investments, directly or indirectly, or other financial interests in any other corporation or business organization, joint venture or partnership of any kind whatsoever except as may be reflected in the Schedules hereto.
