ORGANIZATION OF GENCX XX. Xx connection with the Holding Company Restructuring, REI shall cause the Genco Assets to be contributed to Gencx XX, xxee and clear of the lien of the Mortgage and all other liens and security interests securing Indebtedness, and shall cause Gencx XX xx assume the Genco Liabilities. The date on which such contribution and assumption occurs is referred to herein as the "Genco Organization Date." On the Genco Organization Date, all of the outstanding partnership interests in Gencx XX xxxll be indirectly owned by Regco.
