Organization of SKNZ and Merger Sub. SKNZ and Merger Sub are duly organized, validly existing, and in good standing under the laws of the State of Delaware. Each other direct or indirect subsidiary of SKNZ is duly organized, validly existing, and in good standing under the laws of the state of its formation. SKNZ and each of its Subsidiaries has the requisite corporate power and authority to own, lease, and operate its properties, to carry on its business where such properties are now owned, leased, or operated and in the manner that such business is now conducted. SKNZ and each of its Subsidiaries is qualified to do business as a foreign corporation in all jurisdictions in which the failure to so qualify would have a Material Adverse Effect on SKNZ. Neither SKNZ nor any of its Subsidiaries is a participant in any joint venture or partnership with any Person with respect to any part of its operations or its business.

Sub shall be the surviving corporation in the Merger and the separate corporate existence of Sub shall continue unaffected and unimpaired by the Merger.
