Common use of Organization, Power and Standing Clause in Contracts

Organization, Power and Standing. Seller is duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization. Seller has all requisite limited liability company power and authority to execute and deliver this Agreement and each Ancillary Agreement to which it is a party and to perform its obligations under this Agreement and each such Ancillary Agreement.

Organization, Power and Standing. The Seller is an entity duly organized, validly existing and in good standing under the laws Laws of the its jurisdiction of its organization. Seller incorporation, and has all requisite limited liability company corporate power to own, lease and authority operate its properties and to execute and deliver this Agreement and each Ancillary Agreement to which carry on its business as it is a party and to perform its obligations under this Agreement and each such Ancillary Agreementnow conducted.

Organization, Power and Standing. Seller and Lender is duly organized, validly existing and in good standing under the laws of the jurisdiction state of its organization. Seller , and in the case of Seller, has all requisite limited liability company power and authority to execute and deliver this Agreement and each Ancillary Agreement to which it is a party and to perform its obligations under hereunder. Seller is the duly appointed and acting agent of the Lender, with full power and authority to act on its behalf in the manner set forth in, or as contemplated by, this Agreement and each such Ancillary Agreement.
