Common use of Organization, Power and Standing Clause in Contracts

Organization, Power and Standing. FNEDC is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware with all requisite corporate power and authority to own its properties and to carry on its business as such business is now conducted and presently proposed to be conducted.

FNEDC is duly qualified to do business as a foreign corporation in the State of New Jersey and presently proposed in all jurisdictions in which failure to be conductedso qualify would have a material adverse effect on FNEDC.

FNEDC is not qualified to be conducteddo business as a foreign corporation in any jurisdiction.

The copies of FNEDC's Certificate of Incorporation and by-laws, as amended through the date hereof, that have been delivered to the Shareholders by FNEDC, are complete and correct as of the date of this Agreement and will continue in effect without further amendment through the Closing.
