FNEDC is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware with all requisite power to own and operate its properties and to carry on its business as such business is now conducted. FNEDC is duly qualified to do business as a foreign corporation in the State of New Jersey and in all jurisdictions in which failure to so qualify would have a material adverse effect on FNEDC.
