Common use of Organization, Power and Standing Clause in Contracts

Organization, Power and Standing. FNEDC is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware with all requisite power to own and operate its properties and to carry on its business as such business is now conducted. FNEDC is duly qualified to do business as a foreign corporation in the State of New Jersey and in all jurisdictions in which failure to so qualify would have a material adverse effect on FNEDC.

FNEDC is duly qualified The copies of FNEDC's Certificate of Incorporation and by-laws, as amended through the date hereof, that have been delivered to do business the Shareholders by FNEDC, are complete and correct as a foreign corporation of the date of this Agreement and will continue in effect without further amendment through the State of New Jersey and in all jurisdictions in which failure to so qualify would have a material adverse effect on FNEDCClosing.
