Organization; Power, Etc. The Company is a corporation duly incorporated, validly existing and in good standing under the laws of the State of Delaware. The Company has the corporate power and authority to execute and deliver this Agreement and the other Agreements to which it is a party, and to perform its obligations hereunder and thereunder.
