Organization; Power, Etc. The Company is a ------------------------ corporation duly incorporated, validly existing and in good standing under the laws of the State of Delaware. The Company has the corporate power and authority to execute and deliver this Agreement, the Registration Rights Agreement and the Stockholders' Agreements referred to in Section 4.01(c) (collectively, the "Ancillary Agreements"), to perform its obligations hereunder and thereunder, and to issue and deliver the Shares.
