SCN is duly authorized to conduct business and is in good standing under the laws of each jurisdiction in which the character or location of the properties owned or the business conducted by SCN makes such qualifications necessary. SCN has the full power and authority to carry on the business in which it is engaged and to own and use the properties owned, leased and used by it. SCN is a corporation duly organized, validly existing, and in good standing under the laws of the State of Delaware.
