Organization, Qualifications and Power. Maker is a Delaware corporation and its certificate of registration is in full force and effect. Maker has all requisite power and authority to own or lease its properties and assets and to conduct its business as it is presently being conducted and to issue, sell and deliver this Note.

Organization, Qualifications and Power. Portfolio and each of the Portfolio POEs is a limited liability company duly organized, validly existing and in good standing under the laws of the State of Delaware and is duly licensed and qualified to transact business in the manner that its business is currently being conducted. Each of the Portfolio POEs has the power and authority to own, lease, operate and hold its respective Portfolio Properties and to carry on its business as currently conducted. Portfolio and each of the Portfolio POEs is in good standing under the laws of each jurisdiction wherein the nature of its respective business or its respective ownership of property requires it to be so qualified.

Organization, Qualifications and Power. The Seller has been duly organized and is in good standing under the laws of its jurisdiction of organization. The Seller has all requisite power and authority to execute and deliver this Agreement and to perform its obligations hereunder.

Organization, Qualifications and Power. GTJ is a corporation duly organized, validly existing and in good standing under the laws of the State of Maryland and is duly licensed and qualified to transact business in the manner that its business is currently being conducted. Each of the GTJ POEs is a limited liability company duly organized, validly existing and in good standing under the laws of its state of organization and is duly licensed and qualified to transact business in the manner that its business is currently being conducted. Each of the GTJ POEs has the power and authority to own, lease, operate and hold its properties and to carry on its business as currently conducted. GTJ and each of the GTJ POEs is in good standing under the laws of each jurisdiction wherein the nature of its respective business or its respective ownership of property requires it to be so qualified.

Organization, Qualifications and Power. (a) The Company is a corporation duly organized and validly existing under the laws of the State of Indiana and is duly qualified as a foreign corporation and in good standing in each jurisdiction in which the nature of the business conducted by it or the character of the properties owned or leased by it makes such qualification necessary and in which failure to so qualify would have a materially adverse impact on its business. (b) Sellers have previously delivered to the Purchaser copies of the Company's Articles of Incorporation and By-Laws, and such copies are true, correct and complete and contain all amendments through the Closing Date. (c) Each Seller has all requisite power and authority to execute and deliver this Agreement and each other agreement, instrument or document to be executed and delivered by each Seller pursuant hereto (collectively, the "Seller Ancillary Documents"), to perform his obligations hereunder and thereunder and to consummate the transactions contemplated hereby and thereby. This Agreement has been duly executed and delivered by each Seller and constitutes the valid and binding obligation of each Seller, enforceable against each Seller in accordance with its terms. On its execution and delivery by a Seller, each Seller Ancillary Document will constitute the valid and binding obligation of the applicable Seller, enforceable against such Seller in accordance with its terms.

Organization, Qualifications and Power. The Company is a limited -------------------------------------- liability company duly formed, validly existing and in good standing under the laws of the State of Delaware and is duly licensed or qualified to transact business as a foreign limited liability company and is in good standing in each jurisdiction in which the nature of the business transacted by it or the character of the properties owned or leased by it requires such licensing or qualification, except where the failure to be so qualified or licensed would not have a Material Adverse Effect. The Company has the power and authority as a limited liability company (i) to own and hold its properties and to carry on its business as now conducted and as proposed to be conducted and (ii) to execute, deliver and perform this Agreement.

Organization, Qualifications and Power. Such Seller is duly formed and validly existing under the laws of the state in which it was formed or organized; and such Seller is qualified or authorized to conduct business in each state where the failure to be so qualified or authorized could reasonably be expected to have a material adverse effect upon the business of such Seller. Such Seller has the power and authority to execute, deliver and perform this Agreement and the other agreements, documents and certificates contemplated to be executed and delivered by it pursuant to this Agreement.
