Organization; Standing; Qualification; Power. Purchaser is duly organized, validly existing and in good standing under the laws of Delaware and has the requisite power and authority to own, lease and operate its properties and to carry on its business as presently conducted. Purchaser is duly qualified and in good standing to do business in each jurisdiction in which such qualification is necessary because of the nature of the business conducted by it, except where the failure to be so qualified would not reasonably be expected to have a Material Adverse Effect on Purchaser or prevent or materially delay the consummation of the transactions contemplated hereby.

Seller is duly qualified to do business in each jurisdiction in which such qualification is necessary because of the nature of the business conducted by it, except where the failure to be so qualified would not reasonably be expected to have a Material Adverse Effect on Seller.
