Organization; Status; Formation and Organization Documents. Each of Emerald and Emerald Therapeutics is duly formed and organized and validly subsisting under the laws of Province of British Columbia, is qualified to do business in the Province of British Columbia and has all requisite power and authority to execute, deliver and perform its obligations under this Agreement and the Transaction Documents to which Emerald is a party.
