Organization; Status; Formation and Organization Documents. Village Farms is duly formed and organized and validly subsisting under the Federal laws of Canada, is qualified to do business in the Province of British Columbia and has all requisite power and authority to execute, deliver and perform its obligations under this Agreement and the Transaction Documents to which Village Farms is a party.
