Common use of Organizational Documents; Incumbency Clause in Contracts

Organizational Documents; Incumbency. Administrative Agent shall have received (i) copies of each Organizational Document executed and delivered by each Restricted Person, as applicable, and, to the extent applicable, certified as of a recent date by the appropriate governmental official, each dated the Closing Date or a recent date prior thereto; (ii) signature and incumbency certificates of the officers of such Person executing the Loan Documents to which it is a party; (iii) resolutions of the board of directors or similar governing body of each Restricted Person approving and authorizing the execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party or by which it or its assets may be bound as of the Closing Date, certified as of the Closing Date by a Responsible Officer as being in full force and effect without modification or amendment; (iv) an existence and good standing certificate from the applicable Governmental Authority of each Restricted Person’s jurisdiction of incorporation, organization or formation and in each jurisdiction in which it owns real property Collateral, each dated a recent date prior to the Closing Date; and (v) such other documents as Administrative Agent may reasonably request.

Administrative Agent shall have received (i) copies a copy of each Organizational Document executed of Holdings, Parent and delivered by each Restricted Person, as applicableLoan Party, and, to the extent applicable, certified as of a recent date by the appropriate governmental official, each dated the Closing Date or a recent date prior thereto; (ii) signature and incumbency certificates of the officers of such Person executing the Loan Documents to which it is a party; (iii) resolutions of the board of directors or similar governing body of Holdings, Parent and each Restricted Person Loan Party approving and authorizing the execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party or by which it or its assets may be bound as of the Closing Date, certified as of the Closing Date by a Responsible Officer its secretary or an assistant secretary as being in full force and effect without modification or amendment; (iv) an existence and such good standing certificate certificates as Administrative Agent may request from the applicable Governmental Authority of Holdings, Parent and each Restricted PersonLoan Party’s jurisdiction of incorporation, organization or formation and in each jurisdiction in which it owns real property Collateralis qualified as a foreign corporation or other entity to do business, each dated a recent date prior to the Closing Date; and (v) such other documents as Administrative Agent may reasonably request.

Administrative Agent shall have received (i) sufficient copies of each Organizational Document executed of Company and delivered by each Restricted Person, as applicable, Company GP and, to the extent applicable, certified as of a recent date by the appropriate governmental official, for each Lender, each dated the Closing Date or a recent date prior thereto; (ii) signature and incumbency certificates of the officers of such each Restricted Person executing the Loan Credit Documents to which it is a party; (iii) resolutions of the board Board of directors Directors or similar governing body of each Restricted Person approving and authorizing the execution, delivery and performance of this Agreement and the other Loan Credit Documents to which it is a party or by which it or its assets may be bound as of the Closing Date, certified as of the Closing Date by a Responsible Officer its secretary or an assistant secretary as being in full force and effect without modification or amendment; (iv) an existence and a good standing certificate from the applicable Governmental Authority of each Restricted Person’s jurisdiction of incorporation, organization or formation and in each jurisdiction in which it owns real property Collateralis qualified as a foreign corporation or other entity to do business, each dated a recent date prior to the Closing Date; and (v) such other documents as Administrative Agent may reasonably request.

Administrative Agent shall have received in respect of each Loan Party (i) sufficient copies of each Organizational Document executed and delivered as Agent shall request, in each case, certified by each Restricted Person, as applicable, an Responsible Officer of such Loan Party and, to the extent applicable, certified as of a recent date by the appropriate governmental official, each dated the Closing Date or a recent date prior theretothereto by the appropriate Governmental Authority; (ii) signature and incumbency certificates of the officers of such Person Loan Party executing the any Loan Documents to which it is a party; (iii) resolutions of the board of directors (or similar applicable governing body body) of each Restricted Person Loan Party approving and authorizing the execution, delivery and performance of this Agreement the Loan Documents and the other Term Loan Documents Documents, in each case, to which it is a party or by which it or its assets may be bound as of the Closing Date, certified as of the Closing Date by a an appropriate Responsible Officer as being in full force and effect without modification or amendment; (iv) an existence and a good standing certificate (or equivalent) from the applicable Governmental Authority of each Restricted Personsuch Loan Party’s jurisdiction of incorporation, organization or formation and in each jurisdiction in which it owns real property Collateralis qualified as a foreign corporation or other entity to do business, each dated a recent date prior to the Closing Date; and (v) such other documents as Administrative Agent may reasonably request.

Administrative Agent shall have received (i) copies of each Organizational Document executed of Borrower and delivered by each Restricted PersonGuarantor, as applicable, and, to the extent applicable, certified as of a recent date by the appropriate governmental official, each dated the Closing Date or a recent date prior thereto; (ii) signature and incumbency certificates of the officers of such Person executing the Loan Documents to which it is a party; (iii) resolutions of the board Board of directors Directors or similar governing body of Borrower and each Restricted Person Guarantor approving and authorizing the execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party or by which it or its assets may be bound as of the Closing Date, certified as of the Closing Date by a an Responsible Officer as being in full force and effect without modification or amendment; (iv) an existence and good standing certificate from the applicable Governmental Authority of Borrower’s and each Restricted PersonGuarantor’s jurisdiction of incorporation, organization or formation and in each jurisdiction in which it owns real property Collateral, each dated a recent date prior to the Closing Date; and (v) such other documents as Administrative Agent may reasonably request.
