Organizational Existence, Etc. Except as permitted by Section 9.03, preserve and maintain its corporate or other organizational existence, its rights, franchises, and licenses, and its patents and copyrights (for the scheduled duration thereof), trademarks, trade names, and service marks, necessary or desirable in the normal conduct of its business, and its qualification to do business as a foreign corporation or other organization in all jurisdictions where it conducts business or other activities making such qualification necessary except where a failure to be so qualified could not reasonably be expected to have a Materially Adverse Effect.
