ORIGINAL AGREEMENT; ENTIRE AGREEMENT. Upon execution of this Agreement by the parties hereto, the Original Agreement shall be automatically amended and restated in full as provided herein as of the date hereof. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof, superseding all prior negotiations, preliminary agreements, correspondence or understandings, written or oral between the parties with respect to the subject matter hereof.
