Common use of Original Document Clause in Contracts

Original Document. This Agreement shall be executed by both parties in counterparts, each of which shall be deemed an original, but all of such counterparts taken together shall constitute one and the same Agreement. Receipt by a party of a signed facsimile of a counterpart of this Agreement shall be deemed receipt of an original, and no other party shall raise the Statute of Frauds as a defense to such party’s signature delivered by facsimile. Without limiting the effectiveness of any such signed facsimile, the parties agree to exchange original executed counterparts of this Agreement upon request.
