Common use of Original Issue Price Clause in Contracts

Original Issue Price. For purposes of liquidation and dividend preference rights, anti- dilution rights and any other rights to which the Investor may be entitled upon conversion of the Investment Amount, whether pursuant to the Company’s Articles of Association (the “Articles”) or otherwise, the price per share of the Conversion Shares shall be the price per share according to which the Investment Amount was actually converted (i.e., after taking into account any discount provided to the Investor pursuant to this Agreement).
