Common use of Originality and Title to Concepts, Materials, and Goods Produced Clause in Contracts

Originality and Title to Concepts, Materials, and Goods Produced. Contractor represents and warrants that all the concepts, materials, goods, and services produced, or provided to the BOR pursuant to the terms of this Contract shall be wholly original with Contractor or that Contractor has secured all applicable interests, rights, licenses, permits or other intellectual property rights in such concepts, materials and works. Contractor represents and warrants that the concepts, materials, goods, and services produced or provided to the BOR pursuant to the terms of this Contract and the BOR’s use of same and the exercise by the BOR of the rights granted by this Contract shall not infringe upon any other work, other than material provided by this Contract to Contractor to be used as a basis for such materials, or violate the rights of publicity or privacy of, or constitute a libel or slander against, any person, firm or corporation and that the concepts, materials and works will not infringe upon the copyright, trademark, trade name, trade dress patent, literary, dramatic, statutory, common law or any other rights of any person, firm or corporation or other entity. Contractor represents and warrants that it is the owner of or otherwise has the right to use and distribute the concepts, materials, goods, and services contemplated by this Contract.

Contractor represents and warrants that the concepts, materials, goods, and services produced or provided to the BOR Institution pursuant to the terms of this Contract Agreement and the BORInstitution’s use of same and the exercise by the BOR Institution of the rights granted by this Contract Agreement shall not infringe upon any other work, other than material provided by this Contract Agreement to Contractor to be used as a basis for such materials, or violate the rights of publicity or privacy of, or constitute a libel or slander against, any person, firm or corporation and that the concepts, materials and works will not infringe upon the copyright, trademark, trade name, trade dress patent, literary, dramatic, statutory, common law or any other rights of any person, firm or corporation or other entity.
