Originator Representations and Warranties About Pools of Receivables Transferred by Such Originator. Each Originator severally makes the following representations and warranties about each pool of Receivables transferred by such Originator on which the Depositor is relying in acquiring the Originator Transferred Property. The representations and warranties are made as of the Closing Date (for the Initial Receivables) and each Acquisition Date (for the related Additional Receivables) and will survive the transfer and assignment of the Originator Transferred Property transferred by such Originator to the Depositor under this Agreement and by the Depositor to the Issuer under the Transfer and Servicing Agreement and the pledge of the Originator Transferred Property by the Issuer to the Indenture Trustee under the Indenture, and may not be waived by the Depositor.

The representations and warranties are made as of the Closing Date (for the Initial Receivables) and each Acquisition Date (other than the representation and warranty set forth in clause (e) below, which is made as of the date the Schedule of Receivables is delivered) for the related Additional Receivables) Receivables and will survive the transfer and assignment of the Originator Transferred Property transferred by such Originator to the Depositor under this Agreement and by the Depositor to the Issuer Trust under the Transfer and Servicing Agreement and the pledge of the Originator Transferred Property by the Issuer Trust to the Indenture Trustee Master Collateral Agent under the IndentureMaster Collateral Agreement, and may not be waived by the Depositor.
