OTC'S REPRESENTATIONS AND WARRANTIES. OTC hereby represents and warrants to the Purchaser that it owns record and beneficial title to and has possession of all of the Shares, and that after the consummation of the transactions contemplated herein the Purchaser shall own record and beneficial title to and have possession of all of the Shares free and clear of all liens, encumbrances, security agreements or otherwise.

OTC hereby represents and warrants to the Purchaser that it owns the Promissory Note free and clear of any liens, security agreements or encumbrances of any nature, and that after the consummation of the transactions contemplated herein the Purchaser shall own record and beneficial title to and have possession of the Promissory Note free and clear of all liens, security agreements or encumbrances of any nature.
