Other Actions and Deliveries. Each party shall have deliver or cause to be delivered to the other party such other certificates and documents as may be reasonably requested by such other party's counsel to establish the existence and status of the first party, the due authorization by the first party of this Agreement and the Ancillary Agreements to which the first party is a party and the consummation by the first party of the transactions contemplated hereby and thereby.
