Common use of Other Agreements and Parties Clause in Contracts

Other Agreements and Parties. AutoBond will comply with all terms of the Program Documents to which it is a party. AutoBond will not (a) except as otherwise expressly set forth herein and in the Indenture, agree to any amendment, supplement or modification to or waiver of the terms of the Program Documents to which it is a party without the consent of the Lender (or, if multiple Lenders, the Lenders in respect of a majority in aggregate principal amount of Advances outstanding), (b) appoint any Successor Servicer, without the consent of the Lender (or, if multiple Lenders, the Lenders in respect of a majority in aggregate principal amount of the Advances outstanding), such consent not to be unreasonably withheld or (c) consent to the appointment of any Subservicer, without the consent of the Lender (or, if multiple Lenders, the Lenders in respect of a majority in aggregate principal amount of the Advances outstanding), such consent not to be unreasonably withheld.
