Other Agreements; Defaults. Neither Borrower nor any Borrower Party is a party to any agreement or instrument or subject to any court order, injunction, permit, or restriction which might adversely affect the Project or the business, operations, or condition (financial or otherwise) of Borrower or any Borrower Party. Neither Borrower nor any Borrower Party is in violation of any agreement which violation would have an adverse effect on the Project, Borrower, or any Borrower Party or Borrower’s or any Borrower Party’s business, properties, or assets, operations or condition, financial or otherwise.

Other Agreements; Defaults. No Borrower or other Loan Party is a party to any agreement or instrument or subject to any court order, injunction, permit, or restriction which might materially and adversely affect any Project or the business, operations, or condition (financial or otherwise) of any Borrower, or any other Loan Party. None of any Borrower, any Operating Tenant or any other Loan Party is in violation of any agreement which violation could reasonably be expected to have a Material Adverse Effect on Borrowers or any other Loan Party or any Borrower’s or any other Loan Party’s business, properties, or assets, operations or condition, financial or otherwise.

Neither Borrower nor Guarantor is a party to any agreement or instrument or subject to any court order, injunction, permit, or restriction which might adversely affect, in any material respect, the Project or the business, operations, or condition (financial or otherwise) of Borrower or Guarantor. Neither Borrower nor Guarantor is in violation of any agreement which violation would adversely affect, in any material respect, the Project, Borrower, or Guarantor or Borrower's or Guarantor's business, properties, or assets, operations or condition, financial or otherwise.

Other Agreements; Defaults. (a) Neither the execution, delivery or performance by Xxxxxxxx and Guarantor of the Loan Documents to which it is a party (including, without limitation, the granting of Liens pursuant to the respective Loan Documents), nor compliance by Borrower and Guarantor with the terms and conditions thereof, nor the consummation of the transactions contemplated therein (i) will contravene any provision of any Legal Requirement applicable to Borrower or Guarantor, (ii) will conflict with or result in any breach of or constitute a tortious interference with any of the terms, covenants, conditions or provisions of, or constitute a default under, or result in the creation or imposition of (or the obligation to create or impose) any Lien (except pursuant to the respective Loan Document) upon any of the property or assets of Borrower or Guarantor pursuant to the terms of any contractual obligation to which Borrower or Guarantor is a party or by which it or any of its property or assets is bound or to which it or any of its property or assets may be subject, (iii) will violate any provision of any organizational document of any Loan Party or (iv) requires any approval or consent of partners, members or any other Person which has not been obtained.

Borrower shall not become party to any agreement or instrument, or subject to any court order, injunction, permit or restriction, which might adversely affect the Project or the business, operations, or condition (financial or otherwise) of Borrower. Borrower shall not violate any agreement in a manner which would have a Material Adverse Effect.

No Borrower, Guarantor nor any Master Tenant is a party to any agreement or instrument or subject to any court order, injunction, permit, or restriction which might adversely affect any Project or the business, operations, or condition (financial or otherwise) of any Borrower or Guarantor or any Master Tenant. Neither any Borrower nor Guarantor nor any Master Tenant is in violation of any agreement which violation would have an adverse effect on any Project, any Borrower, Guarantor or any Master Tenant or any Borrower’s or Guarantor’s or any Master Tenant business, properties, or assets, operations or condition, financial or otherwise.
