To the best knowledge of the Company, no officer or key employee of the Company is a party to or bound by any agreement, contract or commitment, or subject to any restrictions, particularly but without limitation in connection with any previous employment of any such person, which has a material adverse effect, or in the future may (so far as the Company can reasonably foresee) have a material adverse effect. To the best knowledge of the Company, no officer or key employee of the Company has any present intention of terminating his employment with the Company, as the case may be, and the Company has no present intention of terminating such employment.
