Other Applicable Law. This Agreement does not, and is not intended to, abrogate any responsibilities of the parties under any other applicable law.

All payments and benefits which Executives receives or may receive in the future under this Agreement in connection with termination of this Agreement and his employment hereunder shall be conditioned on compliance with all applicable statutes and regulations, including but not limited to 12 U.S.C. § 1828(k), and the obtaining of necessary regulatory approvals, if any.

If, by reason of location of Collateral or otherwise, the creation, validity or perfection of security interests provided for herein are governed by the law of a jurisdiction other than Alabama, BORROWER shall take such steps and execute and deliver such papers as BANK may from time to time request to comply with the Uniform Commercial Code, the Uniform Trust Receipts Act, the Factors Lien Act or other laws of another state or states.
