Other Approvals and Actions. (a) Shelby County and SCSB shall proceed expeditiously, cooperate fully and use their reasonable efforts to assist Blue River in procuring, upon terms and conditions reasonably acceptable to Blue River, all consents, authorizations, approvals, registrations and certificates, in completing all filings and applications and in satisfying all other requirements prescribed by law which are necessary for the IPO (as defined in Section 7.02 hereof) and the consummation of the Merger on the terms and conditions provided in this Agreement.
