Other Broker-Dealers. RCM in its discretion may enter into agreements to sell Shares to such registered and qualified retail dealers, as reasonably requested by the Fund. In making agreements with such dealers, RCM shall act only as principal and not as agent for the Fund and shall pay any compensation to such persons. The form of any such dealer agreement shall be mutually agreed upon and approved by the Fund and RCM.
