Common use of Other Causes of Termination Clause in Contracts

Other Causes of Termination. This Agreement will terminate upon written notice by either party, immediately, if (a) a receiver is appointed for the other party or its property; (b) the other party makes a general assignment for the benefit of its creditors; (c) the other party becomes insolvent or unable to pay its debts as they mature in the ordinary course of business or makes an assignment for the benefit of its creditors; (d) the other party is liquidated or dissolved; or (e) any proceedings are commenced against the other party under any bankruptcy, insolvency or debtor's relief law and such proceedings are not vacated or set aside within sixty (60) days from the date of commencement thereof.

This Agreement will terminate: (a) Upon the mutual written agreement of the parties to terminate upon this Agreement; or (b) Upon written notice by either party, immediately, if: (ai) a receiver is appointed for the other party or its property; (bii) the other party makes a general assignment for the benefit of its creditors; (c) at any time on or after January 1, 2010, the other party becomes insolvent or unable to pay its debts as they mature in the ordinary course of business or makes an assignment for the benefit of its creditorsbusiness; (diii) the other party is liquidated or dissolved; or (eiv) any proceedings are commenced against the other party under any bankruptcy, insolvency or debtor's ’s relief law and such proceedings are not vacated or set aside within sixty (60) days from the date of commencement thereof.
