Other Closing Date Deliverables. On the Closing Date, Buyer and Seller shall each deliver duly executed counterparts by the appropriate parties of an assignment of Ground Leases in a form reasonably acceptable to Buyer and the assignment of Resident Agreements and Facilities Agreements with respect to the Purchased Assets.
