OTHER CONSTITUENCIES. In considering the effect of a potential acquisition of control of the Corporation, the Board of Directors of the Corporation may, but shall not be required to, consider the effect of the potential acquisition of control on: (i) stockholders, employees, suppliers, customers and creditors of the Corporation; and (ii) communities in which offices or other establishments of the Corporation are located.
OTHER CONSTITUENCIES. If mutually agreed upon by DISTRICT and UNIVERSITY, other UC-related employee groups, such as the UC Office of the President in Oakland, ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ National Labs in Berkeley, or other defined populations, that agree to all terms and conditions of this Agreement, and any other requirements imposed by UNIVERSITY, shall be allowed to participate, providing that payment is made to DISTRICT for all eligible participants of these groups who live within the DISTRICT’s service area.
