Common use of Other Financial Indebtedness Clause in Contracts

Other Financial Indebtedness. After giving effect to the Transaction (including the Refinancing of the $355 Credit Agreement), neither the Parent Guarantor nor any of its Subsidiaries shall have any Financial Indebtedness, except (i) Financial Indebtedness incurred pursuant to this Agreement and the other Credit Documents, (ii) Financial Indebtedness incurred pursuant to the Other Loan Agreement and (iii) other Financial Indebtedness permitted hereunder and set forth on Schedule VIII hereto.

After giving effect to the Acquisition, the Refinancing and the Transaction (including the Refinancing of the $355 Credit AgreementClosing Date), neither the Parent Guarantor Borrower nor any of its Subsidiaries shall have any Financial Indebtedness, except (i) Financial Indebtedness incurred pursuant to this Agreement and the other Credit Documents, (ii) Financial Indebtedness incurred pursuant to the Other Loan Agreement Agreements and (iii) other Financial Indebtedness permitted hereunder and set forth on Schedule VIII hereto.
