OTHER HOLDERS OF COMMON STOCK. Other holders of Common Stock (including, without limitation, the other Demand Shareholder and the Following Shareholders) to whom the Company has granted registration rights may include their respective securities for their own accounts in such registration if the managing underwriter so agrees. If the managing underwriter determines, in good faith, that marketing factors require a limitation of the number of shares to be underwritten, the managing underwriter may limit the number of Registrable Shares to be included by all holders of Common Stock requesting registration hereunder (including the Demand Shareholder exercising its demand rights under this Section 2(a)) based on the ratio of the number of shares requested to be registered by each such holder to the total number of shares requested to be registered by all such holders.
