Other IPs Sample Clauses

The 'Other IPs' clause defines how intellectual property rights, other than those specifically addressed elsewhere in the agreement, are handled between the parties. This clause typically clarifies ownership, usage rights, or restrictions regarding pre-existing IP, third-party IP, or any IP not directly created under the contract. For example, it may state that each party retains rights to their background IP or that certain third-party technologies are excluded from the agreement. Its core function is to prevent disputes by clearly delineating which intellectual property is covered by the contract and which remains outside its scope.
Other IPs. Ownership of all other IPs created beyond the scope and purposes of this Agreement shall be based on the provisions of the Technology Transfer Act of 20093 and such other laws, rules, regulations, and issuances as may be applicable.
