Other Lien Searches Sample Clauses
The "Other Lien Searches" clause requires one party, typically the buyer or lender, to conduct searches for any liens or encumbrances on the property or assets involved in a transaction beyond those already disclosed. This process may involve checking public records, registries, or databases to identify outstanding claims, judgments, or security interests that could affect ownership or value. By mandating these additional searches, the clause helps ensure that all potential liabilities are identified before closing, thereby protecting the interests of the party acquiring the property or providing financing.
Other Lien Searches. Lender shall have received reports for federal tax lien, bankruptcy, state tax lien, judgment and pending litigation searches in relation to each of the Loan Parties in form and substance satisfactory to Lender. Such searches shall have been conducted in each of the locations where such entities were organized or formed and where the Properties are located and as may be otherwise designated by Lender in Lender’s reasonable discretion and shall be dated not more than thirty (30) days prior to the Closing Date, and, by executing this Agreement, Borrower shall be deemed to have certified that no events that would otherwise be disclosed in such reports have occurred between the date of the reports and the Closing Date.
Other Lien Searches. Between the date hereof and each applicable Closing Date, the Parties shall order and post to the Datasite such state and local UCC searches, tax liens searches, judgment lien searches and other searches with respect to the Properties as they may deem appropriate in connection with the transactions contemplated hereby. The costs of such searches shall be shared by the Parties in proportion to the relative numbers of CK Properties and CAPL Properties included in such searches.
Other Lien Searches. Between the date hereof and the Closing Date, Circle K shall order and post to the Datasite such state and local UCC searches, tax liens searches, judgment lien searches and other searches with respect to the Properties as the Parties may deem appropriate in connection with the transactions contemplated hereby. The costs of such searches shall be shared by the Parties equally.
Other Lien Searches. The Administrative Agent shall have received the results of recent Lien searches by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code, Intellectual Property, judgment and tax lien filings that may have been filed with respect to personal property of the Loan Parties, and the results of such searches shall be satisfactory in form and substance to the Administrative Agent.
