Common use of Other Liens or Interests Clause in Contracts

Other Liens or Interests. Except for the conveyances hereunder, Seller will not sell, pledge, assign or transfer to any other Person, or grant, create, incur, assume or suffer to exist any Lien on the Receivables or the Other Conveyed Property or any interest therein, and Seller shall defend the right, title, and interest of Purchaser and the Issuer in and to the Receivables and the Other Conveyed Property against all claims of third parties claiming through or under Seller.

Except for the conveyances hereunder, no Seller will not sell, pledge, assign or transfer to any other Person, or grant, create, incur, assume or suffer to exist any Lien adverse claim on the Receivables or the Other Conveyed Property or any interest thereinin the Property, and each Seller shall defend the right, title, and interest of the Purchaser in, to and under the Issuer in and to the Receivables and the Other Conveyed Property against all claims of third parties claiming through or under each Seller.

Except for the conveyances hereunder, Seller the Sellers will not sell, pledge, assign or transfer the Sold Assets to any other Person, or grant, create, incur, assume or suffer to exist any Lien on any Sold Assets and the Receivables or the Other Conveyed Property or any interest therein, and Seller Sellers shall defend the right, title, and interest of the Purchaser in, to and under the Issuer in and to the Receivables and the Other Conveyed Property Sold Assets against all claims of third parties claiming through or under Sellerthe Sellers.

Except for the conveyances contemplated hereunder, the Seller will not sell, pledge, assign or transfer to any other Person, or grant, create, incur, assume or suffer to exist any Lien on the Receivables Mortgage Loans or the Other Conveyed Property or any interest therein, and the Seller shall defend the right, title, and interest of Purchaser Purchaser, the Depositor, Trust and the Issuer Indenture Trustee in and to the Receivables Mortgage Loans and the Other Conveyed Property against all claims of third parties claiming through or under the Seller.
